edgar.tools provides SEC filing analysis tools, including company search, filing browsing, investment adviser profiles, AI-powered summaries, and data export features. The service is available in free and paid tiers.
SEC filing data is sourced from the U.S. Securities and Exchange Commission's EDGAR system. Investment adviser data is sourced from Form ADV filings submitted to the SEC and published through the Investment Adviser Public Disclosure (IAPD) system. All such data is public information published by the U.S. government.
3. User Accounts
To access certain features, you must create an account. You are responsible for maintaining the security of your account and login credentials.
You agree to provide accurate information and to update it as necessary. You may not share your account credentials or allow others to access your account.
4. Subscription and Payments
Paid subscriptions are billed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refunds are provided at our discretion.
5. Acceptable Use
You agree not to use edgar.tools for any unlawful purpose or in any way that could damage, disable, or impair the service.
You may not attempt to gain unauthorized access to any part of the service, scrape data beyond your plan limits, or use automated tools to abuse the service.
6. API Usage
API access is subject to rate limits based on your subscription tier. You agree to use the API responsibly and not exceed your allocated limits.
API keys are confidential and must not be shared. You are responsible for all activity associated with your API keys.
7. Intellectual Property
edgar.tools and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws.
SEC filing data and Form ADV data are works of the U.S. government and are in the public domain under 17 U.S.C. § 105. However, our analysis, summaries, enrichment, and presentation of that data are proprietary.
8. Investment Adviser Data
Investment adviser profiles on edgar.tools are compiled from Form ADV filings submitted to the U.S. Securities and Exchange Commission. This data — including assets under management, client types, compensation methods, disclosure history, executive teams, and private fund information — is self-reported by the adviser.
edgar.tools is not affiliated with, endorsed by, or approved by the SEC, FINRA, or any regulatory body. Investment adviser information is provided for informational and educational purposes only. It does not constitute investment advice, an endorsement of any adviser, or a recommendation to engage or avoid any adviser.
Disclosure flags (including disciplinary history, criminal charges, and regulatory actions) are reported by the adviser on Form ADV Item 11 and may not reflect the full regulatory record. The presence or absence of disclosure flags should not be the sole basis for any investment decision. Always verify current information at adviserinfo.sec.gov and consult qualified professionals before making investment decisions.
We make reasonable efforts to keep adviser data current but do not guarantee that information reflects the most recent Form ADV filing. Data may be delayed by up to 30 days from the date of filing.

edgar.tools is provided "as is" without warranties of any kind. We do not guarantee that the service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
Our total liability for any claims related to the service shall not exceed the amount you paid us in the twelve months preceding the claim.
11. Termination
We may suspend or terminate your access to the service at any time for violation of these terms or for any other reason at our discretion.
Upon termination, your right to use the service ceases immediately. Provisions that by their nature should survive termination will remain in effect.
